Terms & Conditions
Agreement
This is an agreement that LMA will act on behalf of the client as a Design & Licensing Consultant to carry out on the company's behalf the following:
Consultancy
To establish the commercial opportunities in developing new products.
Resource
Consult with client to establish and define a direction - research an agreed area of interest and prepare initial first phase concept boards and lifestyle.
Design
To design and produce presentation concept boards identifying through design and lifestyle a clear product direction for the development of the clients licensing opportunities in targeting the following producers of:
- Homewares
- Home furnishings
- Accessories
Copyright
All concepts and designs will be the property of the client. LMA agree to assign the copyright to the client. All product designed by LMA will be accredited "Copyright the client by Les McCree Associates" to appear on all packaging and product.
Cost
To be agreed
Half to be paid on signing of the Agreement to produce the concept boards and the balance payable upon completion. All designs remain ownership of LMA till final payment has been received.
General
This Agreement supersedes any prior agreement (oral or in writing) between the parties.
The parties acknowledge that this Agreement contains the whole agreement between them and that the Client has not relied upon any oral or written representations made by the Consultant or its employees or agents.
The Consultant shall not be liable for any failure to perform its obligations under this Agreement due to unforeseen circumstances or beyond its control including without limitation adverse weather conditions, flood or fire.
This Agreement shall be governed by English Law and the parties shall submit any dispute arising hereunder to the exclusive jurisdiction or the English Courts.
